Market Context

Issuer-sponsored tokenization after the SEC January 2026 statement, and the window for white-label transfer-agent platforms.

Interest in issuer-sponsored tokenization of traditional securities has accelerated following the SEC's January 2026 statement on tokenized securities, which recognized issuer-sponsored tokenization as distinct from third-party tokenization and confirmed that tokenized securities remain securities subject to the federal securities laws.

SEC staff has separately indicated that a registered transfer agent may use distributed ledger technology as its official Master Securityholder File, or as a component of it, provided the applicable transfer-agent requirements continue to be satisfied.

At the same time, established market infrastructure providers are moving in the same direction. Vertalo has advertised dedicated transfer-agent and broker-dealer platform deployments, Securitize has publicly disclosed transfer-agent services agreements priced on investor-count tiers, the NYSE has announced Securitize as a digital transfer agent eligible to mint blockchain-native securities on its planned digital platform, and Bullish's pending acquisition of Equiniti has specifically cited tokenization and blockchain services as a growth driver.

This creates a window for a white-label platform that lets independent and regional transfer agents — rather than only the largest institutional players — offer tokenization services to their existing issuer relationships under their own brand, while Governa supplies and maintains the underlying technology.
